1. Acceptance of Terms

By accessing or using services from CodeWave Dynamics LLC ("we", "us"), you agree to these Terms of Service and our Privacy Policy.

2. Services

We provide custom software development services including:

• Backend development (Java, Spring Boot)
• API development and integration
• Process automation solutions

Specific project terms will be outlined in separate agreements.

3. Intellectual Property

Unless otherwise agreed in writing:

• We retain ownership of all pre-existing code and tools
• Clients own custom-developed code upon full payment
• Open-source components retain their original licenses

4. Payments and Fees

Our standard payment terms:

• 50% deposit before project commencement
• 50% upon completion before delivery
• Hourly rates apply for additional requests

5. Client Responsibilities

Clients agree to:

• Provide timely feedback and required materials
• Appoint a single point of contact
• Make timely payments as agreed

6. Limitation of Liability

Our total liability is limited to the fees paid for the services in question. We are not liable for:

• Indirect or consequential damages
• Third-party service failures
• Client-provided inaccurate information

7. Termination

Either party may terminate with 30 days written notice. Termination fees may apply for active projects.

8. Governing Law

These terms are governed by Florida law. Disputes will be resolved in Broward County courts.

9. Changes to Terms

We may update these terms periodically. Continued use constitutes acceptance of changes.
